Important Notice

Please read these Terms of Service ("Terms") and our Privacy Policy carefully because they govern your use of BookifyCall website and platform ("Product"), the BookifyCall call booking and scheduling service ("Service"), and related BookifyCall services accessible via our Site or our products. To make these Terms easier to read, the Site, our Product, and our other products and services are collectively called the "Services". The term "you" means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable. The term "BookifyCall", "we" or "us" means BookifyCall LLC.

Agreement to the Terms

By using our Services, you agree to be bound by these Terms and by our Privacy Policy. If you don't agree to these Terms and our Privacy Policy, you may not use the Services (including the Site or the Product). If you are accessing and using the Services on behalf of a company (such as your employer) or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these Terms.

Changes to the Terms or Service

We may modify the Terms at any time, in our sole discretion. If we do so, we'll let you know either by posting the modified Terms on the Site or through other communications. It's important that you review the Terms whenever we modify them because if you continue to use the Services after we have posted modified Terms on the Site, you are indicating to us that you agree to be bound by the modified Terms. If you don't agree to be bound by the modified Terms, then you may not use the Services anymore.

Because our Services are evolving over time we may change or discontinue all or any part of the Services, at any time and without notice, at our sole discretion.

Who May Use the Services

a. You may use the Services only if you are 18 years or older and capable of forming a binding contract with BookifyCall and are not barred from using the Services under applicable law.

b. If you want to use certain products or features of the Services you may have to create an account ("Account"). You may do this via the Site or through your account with certain third-party social networking services such as Google (each, a "Social Media Service"). If you choose the Social Media Service option we'll create your Account by extracting from your Social Media Service certain personal information such as your name and email address and other personal information that your privacy settings on the Social Media Service permit us to access.

c. It's important that you provide us with accurate, complete and up-to-date information for your Account and you agree to update such information, as needed, to keep it accurate, complete and up-to-date. If you don't, we might have to suspend or terminate your Account. You agree that you won't disclose your Account password to anyone and you'll notify us immediately of any unauthorized use of your Account. You're responsible for all activities that occur under your Account, whether or not you know about them.

Content

For purposes of these Terms, "Content" means text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Services. Subject to your compliance with these Terms, BookifyCall grants you a limited, non-exclusive, non-transferable, non-sublicensable license to view the Site and all Content therein solely for your personal and non-commercial purposes. See the Section below titled "Additional Terms for the BookifyCall AI Product" for your license to use the Product.

b. BookifyCall and its licensors exclusively own all right, title and interest in and to the Services and Content (excluding any Content you provide, the call recordings or meeting summaries), including all associated intellectual property rights. You acknowledge that the Services and Content are protected by copyright, trademark, and other laws of the United States and foreign countries. You agree not to remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Services or Content.

General Prohibitions

a. You agree not to do any of the following:

i. Post, upload, publish, submit or transmit any Content that:
- (i) infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy;
- (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
- (iii) is fraudulent, false, misleading or deceptive;
- (iv) is defamatory, obscene, pornographic, vulgar or offensive;
- (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group;
- (vi) is violent or threatening or promotes violence or actions that are threatening to any person or entity; or
- (vii) promotes illegal or harmful activities or substances.
ii. Use, display, mirror or frame the Services or any individual element within the Services, BookifyCall name, any BookifyCall trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without BookifyCall express written consent;
iii. Access, tamper with, or use non-public areas of the Services, BookifyCall's computer systems, or the technical delivery systems of BookifyCall's providers;
iv. Attempt to probe, scan or test the vulnerability of any BookifyCall's system or network or breach any security or authentication measures;
v. Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by BookifyCall or any of BookifyCall's providers or any other third party (including another user) to protect the Services or Content;

b. Although we're not obligated to monitor access to or use of the Services or Content or to review or edit any Content, we have the right to do so for the purpose of operating the Services, to ensure compliance with these Terms, and to comply with applicable law or other legal requirements. We reserve the right, but are not obligated, to remove or disable access to any Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider any Content to be objectionable or in violation of these Terms.

c. You represent and warrant that your use of the Services, and any Content you provide, will not infringe, misappropriate or violate a third party's intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

Additional Terms for the BookifyCall AI Product

a. The BookifyCall AI Product provides you with intelligent call scheduling, automated meeting summaries, call analytics, and AI-powered features based on your call and meeting data. We utilize commercially available AI platforms like OpenAI, Anthropic, and other language models to enhance your calling and scheduling experience. BookifyCall is developing proprietary AI capabilities specifically designed for call booking, scheduling optimization, and meeting intelligence. The Product may include beta features that are provided for testing and evaluation purposes. Subject to your compliance with these Terms, BookifyCall grants you a non-exclusive, revocable license to access and use the Product. You expressly understand and agree that BookifyCall may revoke your right to use the Product at any time with or without notice to you. AI-generated content and insights may contain inaccuracies and should be reviewed before use.

b. Call recordings, meeting transcripts, and scheduling data may be processed by artificial intelligence services as mentioned above. As such, you agree (1) we are permitted to submit your call data and meeting information to artificial intelligence services for processing and analysis and (2) you will, at all times, abide by the Service Terms of the third party services used and their Terms of Service, as well as any other terms applicable to your use of AI platforms and products integrated in our Product.

c. You are solely responsible for compliance with all recording laws, privacy regulations, and consent requirements that are applicable to your use of the Product. The Product contains functionality to record, analyze, and enhance call and meeting content, and you agree that you are legally authorized to record and process such content. You agree to obtain all necessary consents from call participants and comply with applicable privacy laws.

d. BookifyCall does not claim any ownership rights in your call recordings, meeting data, or scheduling information, and nothing in these Terms will be deemed to restrict any rights that you may have to use your own data. You hereby grant to BookifyCall a limited, non-exclusive, transferable, worldwide, royalty-free license to use, copy, modify, create derivative works based upon your data solely (i) in connection with operating and providing the Services to you or (ii) for our internal use to improve our call booking and scheduling products and services.

e. Your call data, meeting recordings, and scheduling information are stored on secure cloud servers within the USA. We follow industry-standard backup and security practices. If you delete your account or data, you may not be able to recover your information from our servers. BookifyCall WILL NOT BE ABLE TO PROVIDE YOU WITH A COPY OF YOUR DELETED DATA, AND AS SUCH, WE RECOMMEND YOU ROUTINELY CREATE YOUR OWN BACKUP COPIES OF IMPORTANT CALL RECORDINGS AND MEETING DATA.

Feedback

If you choose to provide input or suggestions regarding problems with or proposed modifications or improvements to the Services ("Feedback"), then you hereby grant BookifyCall an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to use the Feedback in any manner and for any purpose.

DMCA/Copyright Policy

BookifyCall respects copyright law and expects its users to do the same. It is BookifyCall's policy to terminate, in appropriate circumstances, users who repeatedly infringe or are believed to be repeatedly infringing the rights of copyright holders.

Links to Third Party Websites or Resources

The Services may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those resources or links displayed on such websites.

Termination

We may suspend or terminate your access to and use of the Services at our sole discretion, at any time and without notice to you. You may cancel your Account at any time. Upon any termination, discontinuation or cancellation of Services or your Account, the following provisions will survive: Content ownership; Feedback; Warranty Disclaimers; Limitation of Liability; Dispute Resolution; and General Terms.

Warranty Disclaimers

THE SERVICES AND CONTENT ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. WITHOUT LIMITING THE FOREGOING, WE EXPLICITLY DISCLAIM ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

Indemnity

You will indemnify and hold harmless BookifyCall and its officers, directors, employees, and agents, from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, arising out of or in any way connected with your access to or use of the Services or Content, or your violation of these Terms.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKIFYCALL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Dispute Resolution

These Terms and any action related thereto will be governed by the laws of the State of Florida, without regard to its conflict of laws provisions. You agree to the exclusive jurisdiction of the state and federal courts located in Sarasota County, Florida to resolve any dispute, claim, or controversy that relates to or arises in connection with the Terms.

Miscellaneous Terms

Entire Agreement: These Terms constitute the entire and exclusive understanding and agreement between BookifyCall and you.
Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without BookifyCall's prior written consent.
Severability: If any provision of these Terms is held invalid, the remaining provisions will remain in full force and effect.
